Terms of Service
All churches subscribing to the SermonMP3s.com service automatically agree to these terms of service. Terms of service are subject to change. While we, the Malex Media Network,™ may notify you, the Client, of major changes to these terms, it is the client's responsibility to read, understand, and keep up to date with the latest revision of this document.
Malex Media Network™ Responsibilities
In providing the SermonMP3s.com service, the Malex Media Network's™ responsibilities include (but are not limited to) the following:
- The Malex Media Network™ is responsible for providing services as agreed upon by both the Malex Media Network™ and the Client at the beginning of the Agreement until the Agreement expires. Changes to service offerings and pricing will not affect a pre-existing Agreement until after the Agreement expires.
- In the case of a dispute which leads to the temporary or permanent removal of a sermon from the SermonMP3s.com service, the Malex Media Network™ will make every reasonable attempt to contact the Client to inform the Client of the situation. See the "Sermon Removal" section for details.
In the event that the Malex Media Network™ grossly neglects its responsibilities, the Client may terminate the Agreement and / or demand a partial refund. See the "Early Agreement Termination / Refunds" section for details.
Other sections of this document may further clarify or elaborate the Malex Media Network's™ responsibilities.
Client Responsibilities
In receiving the SermonMP3s.com service, the Client's responsibilities include (but are not limited to) the following:
- The Client is responsible for paying the amount owed in full in a timely manner at or before the beginning of the Agreement.
- The Client is responsible for providing the Malex Media Network™ with a copy of each sermon in an acceptable format and in a timely manner. The Malex Media Network™ is not responsible for delays or any other consequence of the Client failing to meet these requirements.
- The Client is responsible for providing the Malex Media Network™ with all required information about each Sermon (title of sermon, name of speaker, sermon series, etc.) in a timely and complete manner. The Malex Media Network™ is not responsible for delays, inaccuracies, or any other consequence of the Client failing to meet these requirements.
- The Client is solely responsible for conforming to all applicable Copyright laws when submitting content to be published through the SermonMP3s.com service. See the "Copyright Disclaimer" section for more details.
- The Client may only submit content which conforms to our guidelines as outlined in the "Content Guidelines" section.
Other sections of this document may further clarify or elaborate the Client's responsibilities.
Copyright Disclaimer
The Client is solely responsible for conforming to all applicable copyright laws when submitting content to be published through the SermonMP3s.com service. The Malex Media Network™ explicitly disclaims all responsibility for copyright infringements due to the Client failing to conform to applicable copyright laws.
In the case of an infringement, the Malex Media Network™ reserves the right to remove the offending sermon immediately. See the "Sermon Removal" section for details.
Content Guidelines
While the Malex Media Network™ is not affiliated with, or biased toward, any particular denomination of the Christian faith, our founder's moral imperatives require that all sermons submitted for publication through the SermonMP3s.com service meet the following guidelines:
- No submitted sermons may contradict the canonical New and Old Testaments. As the inspired, inerrant word of God, these documents must form the basis for all doctrine and theology expressed in submitted sermons.
- No submitted sermons may endorse extra-scriptural revelations of theology or doctrine.
- No submitted sermons may contradict traditional / historical Protestant beliefs.
- Under no circumstances will the corruption of the current culture dictate theology or doctrine. While it is impossible to list every possible instance of this, here are three examples:
- No endorsement of moral relativism will be tolerated.
- No endorsement of homosexuality as a biblically-acceptable lifestyle will be tolerated.
- No endorsement of female eldership will be tolerated. (While I, Alex Markley, respect all women and am open to having women in various positions of leadership within the congregation, I do not see how - in the context of Paul's teachings - one can justify appointing a woman to or above the position of Elder/Teaching Pastor.)
The Malex Media Network™ does not have the resources to verify that all submitted sermons conform to our content guidelines. Thus, it is the Client's responsibility to verify that each submitted sermon conforms to these guidelines.
In the event of a complaint, the Malex Media Network™ reserves the right to remove the offending sermon immediately. See the "Sermon Removal" section for details.
Due to the strict nature of our content guidelines, the Malex Media Network™ reserves the right to deny service to any organization at any time, and at our sole discretion. See the "Early Agreement Termination" section for details.
If any aspect of the Content Guidelines needs clarification, please feel free to contact us. If you have a question about the acceptability of specific content, feel free to let us know so we can review it and get back to you asap.
Sermon Removal
In the event of a copyright infringement or a content guidelines violation, the Malex Media Network™ reserves the right to remove the offending sermon immediately. Where possible, the Malex Media Network™ will make every attempt to contact the Client regarding the offending sermon in order to open a dialog regarding the situation with the Client.
The Malex Media Network™ reserves the right to re-publish the sermon if the Malex Media Network™ decides that removal was unwarranted.
If the Client chooses to provide a modified version of the sermon which addresses the issue, the Malex Media Network™ will publish the new version in place of the old. The Malex Media Network™ will not charge the Client any additional fees for re-publication of the first three (3) modified sermons. After that, the Malex Media Network™ will charge the client a fee appropriate to the number of sermons which need re-publication and the volume of work required.
Removal of a Client's sermon as outlined in this section does not constitute a failure on the part of the Malex Media Network™ to uphold the Malex Media Network's™ responsibilities.
Sermon Archival
The Malex Media Network™ archives all of the Client's sermons which were published through the SermonMP3s.com service until or unless the Client terminates the Agreement, or the Client fails to negotiate a new Agreement after the expiration of an old one.
Thus, the Malex Media Network™ reserves the right to remove a Client's entire archive if the Client does not have an active agreement.
The Malex Media Network,™ reserves the right to leave archived sermons online even in the absence of an active Agreement. See the "Sermon Licensing" section below for details.
The Malex Media Network™ may, at its sole discretion, warn a previous Client some length of time before removing said Client's archive. This would be for the purpose of enticing the Client to negotiate a new Agreement.
Early Agreement Termination / Refunds
Either the Malex Media Network™ or the Client may terminate an Agreement at any time for any reason.
If the Malex Media Network™ terminates the Agreement for any reason, the Client is entitled to a refund which shall not exceed the remaining value of the Agreement. If the Client terminates the Agreement for any reason except those outlined below, the Client will not receive any refund.
If the Client terminates the Agreement within the first thirty (30) days of the Agreement, the Malex Media Network™ will give the Client a full refund. Excluded are month-long Agreements, which must be terminated within the first fourteen (14) days in order to be eligible for a full refund.
In the event that the Malex Media Network™ grossly neglects its responsibilities, the Client may choose to terminate the Agreement and receive a refund which shall not exceed the remaining value of the Agreement. If the Client chooses not to terminate the Agreement, the Client may receive a partial refund. The summation of all non-termination refunds during any given Agreement will never exceed the value of one (1) month of service.
Sermon Licensing
The Client retains copyrights to all sermons submitted for publication through the SermonMP3s.com service. Thus, the Agreement between SermonMP3s.com and the Client is non-exclusive.
By signing up for the SermonMP3s.com service, the Client non-exclusively and non-revocably licenses all submitted sermons and related content to the Malex Media Network™ for distribution in any way and for any purpose, including (but not limited to) the following:
- Distribution of sermon audio and related content for the purposes of fulfilling the Malex Media Network's™ Agreement with the Client.
- Presentation of sermon audio and related content on our web site(s) and / or other presentation media for the purposes of promoting the SermonMP3s.com service.
While the Malex Media Network™ does reserve the right to cease distributing sermons and related content after the expiration of an Agreement, the Malex Media Network's™ license to distribute said content does not expire. The Malex Media Network,™ at its sole discretion, may continue to use sermons and related content for various purposes according to this non-revocable license agreement.
